KGG’s corporate and real estate clients regularly seek our counsel on a variety of matters including long-term planning, short-term emergencies, the sale or purchase of assets or business interests, matters concerning employees, and/or matters concerning the sale, purchase or lease of real estate. Since the KGG partners and attorneys have extensive experience in a wide variety of matters, our clients come to us for all their legal needs rather than shop for different law firms as issues develop. Our familiarity with our clients’ businesses makes us a valuable and integral part of their success.
Sale and Lease of Commercial Real Estate
KGG has extensive experience in representing clients involved in the sale, purchase or lease of Commercial Real
Estate. Gary S. Graifman
has been involved in the review and negotiation of hundreds of commercial and office leases of various kinds and has written on the subject (See Negotiating A Commercial Lease-- From the Tenant’s Vantage, Gary S. Graifman, “The Rockland Business Digest,” Vol 1, Issue 5, April 2007). In addition, the Firm has represented various companies and investors in the purchase and sale of commercial properties. Recently, Barry S. Kantrowitz guided the JCC Rockland through the purchase, gut renovation and development of a 15 acre, 135,000 square foot property in West Nyack, NY.
The site required extensive municipal approvals to be developed into a multi-use community center, sports and athletic facility. The Firm assisted in the negotiation of the acquisition, handled various legal issues arising during the development and build-out of the facility, and was integrally involved in the IDA Bond funding of the project.
The Firm has also represented landlords and tenants in litigation concerning real estate issues. These include the use of easements, zoning issues, breach of contract issues and related matters. When Solomon Equities and its partners built an office building at the corner of Fifth Avenue and 55th Street in Manhattan, Mr. Graifman was directly involved in the litigation protecting the neighboring property of Harry Winston Jewelers which was affected by the construction.
Formation and Dissolution of Business Entities
KGG is involved on a daily basis in advising business clients on which business structure is best for their new venture. KGG provides counsel on the organization and structuring of the entity as well as the resolution of internal corporate and business issues that arise in the operation of such businesses. In its capacity as counsel to corporate and business clients, the firm acts as advisor and counsel to the board of directors and other governing structures of such organizations.
Shareholder and Partnership Agreements
KGG draws on its vast experience of drafting and reviewing shareholder and partnership agreements to advise its clients in both ongoing businesses or new business ventures. Written agreements are essential for the governance of the internal structure of any corporation, limited liability company (LLC), limited liability partnership (LLP) or general partnership. The Firm, when representing the entity, typically meets with all of the principals and their counsel and develops the shareholder or member agreement which best fits the expectations of the parties.
Business Sales and Acquisitions and Mergers
The Firm in its corporate counsel capacity has guided a large number of its clients through the purchase, sale or acquisition of various businesses. Mr. Graifman, as counsel for The Computer Factory (a company, publicly traded on the New York Stock Exchange) was directly involved in the acquisition of over 60 retail outlets acquired from other entities including the negotiation of all of the affiliated retail store leases. The Firm has represented companies acquiring or merging with other entities in diverse areas and industries ranging from the elevator industry to the food distribution business.
